- we have led and project managed one of the most significant transactions in the Italian steel industry that involved the acquisition by Metinvest Holding LLC, a privately owned Ukrainian conglomerate, of an Italian steel group with steel plants in Italy and i the United Kingdom as well as trading companies in several European countries
- in connection with the acquisition of this steel group, we have also been involved in all aspects of the financig of this transaction through a LBO with BNP Paribas and ABN Amro Bank as the leading arrangers of the acquisition finance
- we have represented Element Power, US private equity fund, in the acquisitions of project companies in the renewable energy business
- acquisition by an investment company of a consultancy company, previously part of a leading Italian banking group
- acquisition by a New Zealand group operating in the field of milk and milk derivatives of equity in an Italian company
Yachting:
- Negotiating and drafting of Mega Yachts building agreements for the construction of some of the largest yachts ever built in Italy
- Negotiating and drafting of finance agreements with leading banks, borrowers and shipyards for the building of Mega Yachts
- Advising on leasing schemes and agreements with leasing companies
- Advising on registration of yacht building contracts
- Advising on mortgages, security and collarateral arrangements, documentation and registration
Insurance:
- drafting insurance documents, such as policy conditions, application forms, and other documents required by Italian insurance law and regulations governing insurance products
- developing specialized insurance products, such as life insurance policies, unit-linked policies, index-linked policies, health insurance policies, D&O liability policies, Financial Lines policies
- advising on regulatory matters connected with incorporation of Italian based companies, establishment of branches, and notices for operation on a European services basis
